Terms of Service

These Terms of Service ("Terms") govern your access to and use of Loomia Pro — the desktop application, the mobile applications, and the account website (together, the "Service"), operated by Loomia Pro ("we", "us"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Loomia Pro provides personal stage-monitor mixing over a local network: a licensed desktop computer publishes audio channels, and musicians adjust private monitor mixes from their phones. Audio is processed and transmitted on your local network only — the Service does not stream your audio through our servers. Billing, account management, and desktop license activation happen online.

2. Accounts

• You need an owner account (email and password) to manage billing, desktop activation, and musician capacity. Musicians connecting from phones do not need accounts.
• You are responsible for keeping your credentials secure and for all activity under your account.
• You must provide accurate information and be legally capable of entering into this agreement.

3. Plans, billing, and changes

• Solo is free and includes one connected musician and one active desktop.
• Paid plans differ by the number of simultaneous musicians they include. Musician slots can be added for a monthly fee per slot. Current prices are shown on the pricing page in USD.
• Payments are processed by Stripe; we do not store your card details. Subscriptions renew automatically, monthly or annually, until cancelled.
• Upgrades take effect immediately and may generate a prorated charge. Downgrades and cancellations are scheduled for the end of the current billing period — you keep what you paid for until then.
• Except where the law requires otherwise, payments are non-refundable. After cancellation you retain access until the end of the paid period.
• We may change prices with prior notice; changes apply from your next renewal.

4. Desktop license

• Your subscription licenses one active desktop at a time. The license is bound to the activated device and issued as a signed token.
• A licensed desktop can operate without internet access for a limited offline window (currently up to 7 days), after which it must reconnect to renew the license.
• You can deactivate a desktop at any time from your account to free the slot for another computer.

5. Acceptable use

• You may not circumvent, disable, or interfere with license enforcement or any technical protection of the Service.
• You may not reverse engineer, decompile, or modify the applications, except where the law expressly permits it.
• You may not resell, sublicense, or share your subscription outside your organization, or use the Service for unlawful purposes.

6. Intellectual property

The Service, including the applications, brand, and content, is our property or licensed to us. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service while your subscription is active. Your audio and your mixes are yours — we claim no rights over the content you produce.

7. Live performance disclaimer

Loomia Pro is designed for low-latency, offline-tolerant stage use, but no software can guarantee uninterrupted operation. The Service is provided "as is", without warranties of any kind. Always test your setup — network, audio interface, and devices — before a performance.

8. Limitation of liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, or consequential damages, including lost profits or interrupted performances. Our total liability for any claim related to the Service is limited to the amounts you paid us in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, including mandatory consumer rights.

9. Termination

You can cancel your subscription or delete your account at any time. We may suspend or terminate access if you materially breach these Terms, including attempts to circumvent licensing. Sections that by their nature should survive (intellectual property, disclaimers, limitation of liability) survive termination.

10. Changes to these Terms

We may update these Terms as the Service evolves. If a change is material, we will notify you (for example by email or in the account area) before it takes effect. Continuing to use the Service after the effective date means you accept the updated Terms.

11. Governing law and contact

These Terms are governed by the laws of the Federative Republic of Brazil, without prejudice to mandatory consumer protections of your country of residence. Questions about these Terms: mat-he@hotmail.com.
